Terms of Service

1. Purpose and acceptance

These Terms of Service ("Terms") govern access to and use of the Ordylo platform ("Ordylo", "the service", "we") by any merchant ("you", "the merchant"). By creating an account or using the service, you accept these Terms in full. If you do not agree, do not use the service.

2. Description of the service

Ordylo is a SaaS order management platform (OMS) that centralizes customer conversations (Instagram, WhatsApp, website), syncs catalogs and orders from connected e-commerce platforms, assists replies with artificial intelligence, and enables delivery and cash-collection tracking. The service evolves regularly: features may be added, changed or removed.

3. Registration and account

  • You must be an adult individual or a legal entity, acting in a professional capacity.
  • You are responsible for the accuracy of the information provided and for the confidentiality of your credentials.
  • You are responsible for all activity carried out from your account, including by the team members you invite.
  • You will notify us without delay of any unauthorized use of your account.

4. Merchant obligations

  • Use the service in accordance with applicable laws and with the terms of the connected third-party platforms (notably Meta for Instagram and WhatsApp).
  • Obtain the necessary consents from your customers to process their data, and maintain a compliant privacy policy.
  • Do not use the service to send unsolicited messages (spam) in breach of messaging platform rules.
  • Remain accountable for the compliance of your products, prices, and the fulfillment of your orders toward your customers.

5. Acceptable use

In particular, you must not:

  • Sell illegal, counterfeit or products prohibited by the connected platforms.
  • Circumvent, probe or disrupt the security or integrity of the service.
  • Access, or attempt to access, another merchant's data.
  • Resell, sublicense or reproduce the service without written authorization.
  • Use the service for fraudulent or deceptive purposes.

Any breach may result in immediate suspension or termination of the account.

6. Third-party services

The service integrates with third-party platforms (Meta, Shopify, YouCan, WooCommerce, carriers, etc.). Your use of those services remains subject to their own terms. We are not responsible for the availability, API changes, or decisions of those third parties (for example a suspension of your Meta account). Connecting and disconnecting these services is your responsibility.

7. Artificial intelligence features

Some features rely on artificial intelligence (reply suggestions, product descriptions, media recognition, risk analysis). These features are provided as assistance: the generated replies and suggestions may contain errors and must be reviewed by you before any sensitive action. You remain solely responsible for the messages sent to your customers and for the decisions made. Ordylo does not warrant the accuracy or suitability of the generated content.

8. Pricing and billing

The service is currently offered in beta. Some plans may be free or at an "early-adopter" price for early sign-ups. Final prices will be communicated before any billing, and any move to a paid plan will require your prior agreement. Applicable taxes are your responsibility where relevant.

9. Intellectual property

Ordylo and all of its components (software, trademarks, interfaces, documentation) remain our exclusive property. We grant you a personal, non-exclusive and non-transferable right of use, limited to the term of your subscription. You retain ownership of your content (catalog, media, customer data) and grant us only the license necessary to provide the service.

10. Personal data

The processing of personal data is described in our privacy policy, which forms an integral part of these Terms. By using the service, you undertake to comply with your own legal obligations regarding your customers' data.

11. Availability and maintenance

We strive to provide high availability of the service, without however guaranteeing uninterrupted operation. Maintenance, updates or incidents may cause interruptions. In beta, no contractual service level (SLA) is guaranteed.

12. Limitation of liability

To the extent permitted by law, Ordylo shall not be liable for indirect damages, loss of profits, orders, data or revenue arising from the use of, or inability to use, the service. The service is provided "as is". Our total liability, on any and all grounds, is limited to the amounts actually paid by you over the last twelve months.

13. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your access in case of breach of these Terms, fraudulent use, or legal requirement. On termination, your data is handled in accordance with the privacy policy.

14. Changes to these Terms

We may change these Terms to reflect changes to the service or legal requirements. Any significant change will be notified to you by email at least 30 days before it takes effect. Continuing to use the service after that date constitutes acceptance of the new version.

15. Governing law and disputes

These Terms are governed by Moroccan law. Failing an amicable resolution, any dispute will be submitted to the competent courts of Casablanca, without prejudice to the mandatory provisions applicable to merchants established in the European Union.
